BrainFlow Terms of Service

Welcome to BrainFlow. These Terms of Service (“Terms”) govern your use of the BrainFlow mobile application (“App”, “Service”) provided by us (“BrainFlow”, “we”, “us”, “our”). By downloading, installing, or using the App, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using BrainFlow, you confirm that you:

  • Are at least 18 years old or have the consent of a parent or guardian
  • Have the legal capacity to enter into these Terms
  • Agree to comply with all applicable laws and regulations

If you do not agree to these Terms, you must not use the App.

2. Description of Service

BrainFlow is a voice-to-notes application that allows you to:

  • Record voice memos and audio notes
  • Convert speech to text using automated transcription
  • Organize, edit, and manage your notes and transcripts
  • Export your notes in various formats

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on devices you own or control, solely for your personal, non-commercial use.

You may not:

  • Copy, modify, or create derivative works of the App
  • Reverse engineer, decompile, or disassemble the App
  • Remove, alter, or obscure any proprietary notices
  • Use the App for any unlawful or unauthorized purpose
  • Attempt to gain unauthorized access to our systems or networks
  • Use automated systems to access or interact with the Service
  • Resell, rent, lease, or sublicense access to the App

4. User Content and Data

Your Content

You retain all ownership rights to the audio recordings, notes, and other content you create using the App (“Your Content”). By using the Service, you grant us a limited license to process Your Content solely to provide the transcription and note-taking services.

Data Processing

As described in our Privacy Policy:

  • Audio recordings are sent to our transcription processors and deleted after processing
  • Your notes and transcripts are stored locally on your device
  • We do not claim ownership of your content
  • You are responsible for maintaining backups of your content

Content Responsibility

You are solely responsible for Your Content and the consequences of creating, uploading, or sharing it. You represent and warrant that:

  • You own or have the necessary rights to all content you submit
  • Your Content does not violate any laws or third-party rights
  • Your Content does not contain viruses or malicious code

5. Subscription and Payment

Free Trial

We may offer a free trial period. If you do not cancel before the trial ends, you will be automatically charged for a subscription.

Subscription Plans

Access to certain features may require a paid subscription. Subscription fees are charged in advance on a recurring basis (monthly, annually, or as otherwise specified).

Payment Processing

Payments are processed through the Apple App Store or Google Play Store. All billing questions should be directed to the respective app store.

Automatic Renewal

Your subscription will automatically renew unless you cancel at least 24 hours before the end of the current period. You can manage your subscription through your device's app store settings.

Refunds

Refunds are subject to the app store's refund policies. Generally, all fees are non-refundable except where required by law.

Price Changes

We reserve the right to modify subscription prices. Price changes will not affect your current subscription period but will apply upon renewal. We will provide reasonable notice of any price changes.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any laws, regulations, or third-party rights
  • Transmit or store illegal, harmful, or offensive content
  • Harass, threaten, or impersonate others
  • Interfere with or disrupt the Service or servers
  • Attempt to bypass any security features or usage limitations
  • Collect or harvest user information without consent
  • Use the Service for commercial purposes without authorization
  • Upload content containing viruses or malicious code

We reserve the right to investigate and take appropriate action against anyone who violates these Terms, including suspending or terminating accounts.

7. Intellectual Property

The App, including all software, designs, text, graphics, interfaces, and other content (excluding Your Content), is owned by BrainFlow and protected by copyright, trademark, and other intellectual property laws.

“BrainFlow” and all related logos and branding are trademarks of BrainFlow. You may not use our trademarks without prior written permission.

8. Third-Party Services

The App uses third-party services for transcription, analytics, and other features as described in our Privacy Policy. These third parties have their own terms and policies, and we are not responsible for their services or practices.

Third-party services include:

  • Deepgram (transcription)
  • PostHog (analytics)
  • Adjust (attribution)
  • Apple App Store and Google Play Store (payment processing)

9. Service Availability and Support

Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free access. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.

For technical support or questions, contact us at hello@brainflow.tech. We will make reasonable efforts to respond but do not guarantee response times.

Updates

We may release updates, upgrades, or new versions of the App. Some updates may be required to continue using the Service.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Guarantees of accuracy, reliability, or completeness of transcriptions
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties regarding third-party services or content

Transcription accuracy depends on audio quality, accents, background noise, and other factors. We do not guarantee that transcriptions will be 100% accurate. You should review and verify all transcriptions for accuracy.

Your use of the Service is at your own risk. We are not responsible for any loss of data, even if we have been advised of the possibility.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRAINFLOW AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use
  • Business interruption or cost of substitute services
  • Any damages arising from your use or inability to use the Service

IN ANY EVENT, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR £100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you to the extent prohibited by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless BrainFlow and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your Content
  • Your violation of these Terms
  • Your violation of any laws or third-party rights

13. Termination

By You

You may stop using the Service at any time by uninstalling the App and canceling your subscription through your device's app store settings.

By Us

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if:

  • You violate these Terms
  • Your use poses a security risk or potential legal liability
  • You engage in fraudulent or illegal activity
  • We discontinue the Service

Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • You will not be entitled to any refunds
  • We may delete your account and data in accordance with our Privacy Policy
  • Provisions of these Terms that should survive termination will remain in effect

14. Governing Law and Disputes

Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Dispute Resolution

In the event of any dispute arising from these Terms or the Service, you agree to first contact us at hello@brainflow.tech to attempt to resolve the dispute informally.

Jurisdiction

Subject to mandatory consumer protection laws, you agree to submit to the exclusive jurisdiction of the courts of England and Wales to resolve any legal matter arising from these Terms.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will:

  • Update the “Last updated” date at the top of this page
  • Notify you through the App or by email (if we have your email address)
  • Provide at least 30 days' notice before changes take effect

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.

16. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BrainFlow regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or infrastructure failures.

Export Controls

The App may be subject to export control laws. You agree to comply with all applicable export and import laws and regulations.
